Organisation Model

ORGANISATION AND MANAGEMENT MODEL IN ACCORDANCE WITH D. LGS. 231/2001
Legislative Decree 231/2001 introduced a new form of liability for companies for certain types of offences committed by their directors and employees, as well as by persons acting in the name and on behalf of Benacchio.

Benacchio, with reference to Legislative Decree 231/2001, has formally established a Management and Control Organisational Model. The Model adopted in this way stems from the need, in addition to legislation, to successfully deal with the complexity of the situations in which the company finds itself operating, by clearly defining the set of values by which it is inspired and which it wants to be respected.

In no way can the conviction of acting to the advantage of the Company justify the adoption of behaviour in contrast with these principles.

The Benacchio S.r.l. Model consists of a “General Part” and three “Special Parts” designed to prevent the different types of offences and crimes provided for by Legislative Decree 231/01.

The Company has also appointed a Supervisory Body with the task of constantly monitoring compliance with the Code of Ethics and the Model by all recipients and the implementation of the provisions contained therein.

Code of Ethics

The Code of Ethics represents, for all those who work with and within Benacchio, the instrument through which the Company expresses its values and principles of behaviour.

All those who have business relations with, in the name of and on behalf of Benacchio. are required to contribute to its implementation and to the dissemination of the principles formalised therein, so that all relations with external bodies (be they: competent territorial bodies, certifying bodies, AUSL, Judicial Police Bodies, etc.), can be conducted on the basis of absolute fairness, in full compliance with the rights of others, in accordance with the laws in force and the principles of belonging to the company.

The Code of Ethics is based on a long-term commitment, which supports and underpins Benacchio’s strategy and economic objectives for industrial development.

Reporting

REPORTING TO THE SUPERVISORY BOARD

Benacchio has adopted a management procedure for reports received by the Company’s Supervisory Board, also establishing multiple channels to allow communication of any reports of violations of the Code of Ethics and the Organisation and Management Model.

Any violation or suspected violation and/or any other information relating to the implementation of the Model or the Code of Ethics may be reported to the Supervisory Board at the following e-mail addresses:

With a view to facilitating the processing of the report, and in order to ensure that the Supervisory Board receives the minimum content required to enable it to analyse the information received in a timely and complete manner, the following is the Report Form to the Supervisory Board.

TEMPLATE FOR MISCONDUCT REPORTING
Employees and collaborators who wish to report situations of wrongdoing of which they have become aware must use this model. It should be noted that the law protects employees who report wrongdoing. The company is obliged to set up systems to protect the confidentiality of the reporter’s identity, which must be protected in any context following the report. In disciplinary proceedings, the identity of the whistleblower may not be disclosed without the whistleblower’s consent, unless knowledge of it is absolutely essential for the accused’s defence.
